Zhenxin Technology: Company shareholders sue the company over shareholder meeting resolution invalidity

People’s Financial News, March 11 — Zhenxin Technology (300101) announced on March 11 that it recently received legal documents including a summons and a civil complaint from the People’s Court of Chengdu High-tech Industrial Development Zone. The court has accepted a lawsuit filed by shareholder and sixth board director Mo Ran against the company’s resolution validity dispute. As of the date of this announcement, the case has been filed and is awaiting a court hearing.
Lawsuit claim: To declare the resolution of the temporary shareholders’ meeting held on February 12, 2026, invalid.
The plaintiff believes that the shareholders’ resolution made by Zhenxin Technology on February 12, 2026, involves nominees damaging the legal rights of other shareholders besides the controlling shareholder; some nominated individuals are suspected of lacking qualifications for director positions; and the influence of the controlling shareholder on some shareholders’ voting should be deemed invalid according to law.
