Gate News 消息，3 月 24 日，YZi Labs 发表声明，回应 CEA Industries（纳斯达克代码：BNC）于 2026 年 3 月 16 日提交的 10-Q 表和 8-K 表，指控其存在系统性治理失败。
声明指出，BNC 的 SEC 文件披露了财务报告内部控制存在重大缺陷，此前 CEO 与首席财务及会计官职务由同一人担任，且公司在收入、税务及股权薪酬等关键领域缺乏充分的核查控制。
YZi Labs 估算，离任 CEO David Namdar 的过渡协议总价值约 198 万美元，包括：37.5 万美元追溯性补发咨询费、约 27.6 万美元未来月度咨询费、约 43.43 万美元以现金替代未经股东批准的股权计划支付，以及 90 万美元与限制性条款挂钩的离职一次性付款。YZi Labs 认为该协议中的限制性条款禁止 Namdar 协助股东提出任何主张或采取影响管理层的行动，实质上是一种控制权争夺管理工具。
声明还指出，BNC 本季度向由在任董事 Hans Thomas 控制的资产管理实体支付了 200 万美元费用，自 2025 年 6 月 7 日以来累计支付 380 万美元。此外，10-Q 表中存在 17648 股认股权证行使数据无法对账的问题。
YZi Labs 投资合伙人 Alex Odagiu 表示，该董事会在未召开年度股东大会、未获股东批准的情况下向关联方输送数百万美元资金。YZi Labs 要求董事会公开说明离职补偿的合理性，发布重大缺陷整改计划，并披露过渡协议中限制性条款的完整适用范围。
