Black Sesame Intelligence (02533)
Announces a placement of 33.545 million shares to Infini Global Master Fund managed by Wuji Capital, representing 4.8% of the enlarged issued share capital. The subscription price is HKD 18.88 per share, compared to the previous closing price of HKD 19.29, a discount of 2.1%. The total gross proceeds and net proceeds are HKD 630 million.

50% of the net proceeds will be used for core technology research and development, including the development of next-generation high-performance chips, such as high-computing chips for autonomous driving and robotics, as well as edge AI chips for terminal devices. 40% will be allocated to product commercialization and market expansion, and 10% for general operational purposes.

After completion, the shareholding ratio of the major shareholder, Zhang, will decrease from 13.6% to 12.9%, while the subscriber will hold approximately 4.8%.

Black Sesame Intelligence stated that the directors believe that the company and the subscriber can generate long-term strategic synergies in related capital, business, and other resources, including but not limited to AI, robotics, and autonomous driving fields. This will also accelerate the integration and implementation of the group’s overseas capital and business, supporting the group’s sustainable development and business growth, aligning with the overall interests of the company and its shareholders.
